Assessment Task Description

The Corporations Act 2001 and various accounting regulations stipulates the way that funds can be raised and

redeemed, as well as accounted for and disclosed in a company’s general-purpose financial statements.

“A company can issue shares to the public only if it is a public company, and this must be done only after the issue of a disclosure document, such as a prospectus” ( Leo et al, 2018 p39).

All companies entitled to fundraise can use a prospectus, and a prospectus is the most common type of disclosure document and has the broadest information requirements in accordance with Corporations Act 2001 Division 4 section 710 (ASIC 2019).

Suppose you are a newly appointed finance manager of a newly listed company, which is going to raise funds by issuing shares. The company Chairman asked you to prepare a detailed report evaluating the “specific disclosure requirement” part/section of the prospectus that must be prepared according to the Corporations Act 2001. He also instructed the finance manager to provide examples from a published prospectus issued by a listed company.

You are required to:

1. Select one of the listed companies and download its prospectus from the links given
2. Write a detailed report evaluating the following information explaining how to prepare a “specific disclosure requirements” section of the prospectus in compliance with ASIC requirements. (In your collaborative group work, you are also required to provide examples from a selected published prospectus).
